A public limited company (PLC) is a company with share capital that can offer shares to the public. A business can form a new PLC or, if it meets the requirements, re-register an existing private company as a PLC. PLC status does not by itself mean that the company’s shares are listed on a stock exchange.
A PLC must have at least two directors and a qualified company secretary. A newly incorporated PLC must also meet the statutory share-capital requirements and obtain a trading certificate from Companies House before it can commence business or exercise borrowing powers.
