Limited by Guarantee (Bespoke) Package Summary
Companies limited by guarantee are often used by membership organisations, clubs, community groups and social enterprises. They have guarantors rather than shareholders, and each guarantor's liability is limited to the guaranteed amount agreed when the company is formed.
Unlike a standard limited company, there are no shareholders or shares - there are guarantors who agree in advance to pay up to an agreement amount towards company liabilities.
Companies limited by guarantee can generate a surplus. Whether members can receive distributions depends on the company's Articles and purpose. Many non-profit companies limited by guarantee reinvest their surplus into the organisation, and registered charities must apply their income and assets to charitable purposes.
As with a standard limited company, a company limited by guarantee has its own legal identity and the personal finances of its guarantors are protected because of the pre-agreed limit of liability put in place at formation and from that point onward.
